These Terms and Conditions constitute a legally binding agreement governing the use of all digital services provided by Banaskantha Dist. Co.op. Milk Producers Union Ltd. (hereinafter referred to as the "Banas Dairy"), including but not limited to any current or future mobile software applications (hereinafter referred to as “Applications”) and online Payment Gateway/Vendor Services (hereinafter referred to as “Payment Services”).


By downloading, installing, accessing, or utilizing any of the Applications or Payment Services, the User agrees to be bound by these Terms. If the User does not agree to these Terms, they must strictly refrain from using the Applications or Services.

1. GENERAL USE

A. Applicability to Mobile Applications
  • The User shall utilize the Applications solely for lawful purposes.
  • Any unauthorized use, misuse, reverse engineering, modification, or unauthorized access to the underlying code or structure is strictly prohibited.
  • Certain features may necessitate access to device permissions (including but not limited to camera, location, storage, and notifications). Such permissions are utilized solely to facilitate the specific functionality of the respective Application.
B. Applicability to Payment Gateway & Vendor Services
  • The User shall utilize the Payment Services strictly for authorized commercial transactions and vendor registration purposes as permitted by Banas Dairy.
  • The utilization of the Payment Gateway for fraudulent financial activities, money laundering, or any transactions unrelated to the legitimate business of Banas Dairy is strictly prohibited.
  • Access to the Payment Gateway is granted exclusively for the purpose of remitting fees, deposits, or payments as expressly authorized by Banas Dairy.

2. USER ACCOUNTS

A. Applicability to Mobile Applications
  • Where the Applications require account creation or authentication:
    • The User agrees to provide information that is accurate, current, and complete.
    • The User is solely responsible for maintaining the confidentiality and security of their login credentials.
    • Banas Dairy shall not be held liable for any unauthorized access resulting from the User’s negligence or failure to secure credentials.
B. Applicability to Payment Gateway & Vendor Services
  • Vendors and Users accessing the Payment Gateway must maintain the strict confidentiality of their banking credentials, One-Time Passwords (OTPs), and transaction passwords
  • The User represents and warrants that they are the authorized holder of the credit card, debit card, or bank account utilized for any transaction.
  • Banas Dairy explicitly disclaims liability for any loss resulting from compromised credentials on the part of the User.

3. INTELLECTUAL PROPERTY RIGHTS

A. Applicability to Mobile Applications
  • All Applications, logos, source code, designs, content, and related proprietary materials remain the exclusive property of Banas Dairy.
  • The User shall not copy, modify, distribute, or reverse engineer any portion of the Applications.
B. Applicability to Payment Gateway & Vendor Services
  • All proprietary software, web interfaces, APIs, and payment flow structures associated with the Payment Gateway constitute the intellectual property of Banas Dairy or its licensed financial partners.
  • Unauthorized reproduction of the payment portal interface or misuse of Banas Dairy's brand for phishing, spoofing, or fraudulent activities is strictly prohibited.

4. IN-APPLICATION PURCHASES / SUBSCRIPTIONS

A. Applicability to Mobile Applications
  • Certain Applications may offer paid features or subscriptions.
  • All such payments are processed securely through Google Play Billing.
  • Refunds for such transactions are processed in accordance with the Google Play Refund Policy.
B. Applicability to Payment Gateway & Vendor Services
  • This clause governs all payments remitted directly through Banas Dairy’s Payment Gateway.
  • Refunds are handled according to Banas Dairy's refund policy.
  • The Vendor Form Registration Fee is strictly non-refundable.
  • The Earnest Money Deposit (EMD) is refundable only if the tender is not allotted.
  • Banas Dairy reserves the right to rectify any processing errors. In the event of an erroneous charge, the User must notify Banas Dairy immediately.

5. THIRD-PARTY SERVICES

A. Applicability to Mobile Applications
  • The Applications may utilize third-party tools and services, including but not limited to:
    • Google Play Services
    • Firebase Analytics / Crashlytics
    • AdMob or other advertising networks
    • External Payment Processors
  • These services operate under their respective Terms of Service and Privacy Policies.
B. Applicability to Payment Gateway & Vendor Services
  • The Payment Services utilize third-party banking partners, payment aggregators, and financial institutions to process transactions.
  • By utilizing the Payment Gateway, the User agrees to be bound by the terms, conditions, and processing rules of the respective banking partners.
  • Banas Dairy does not retain the User’s complete banking data, such data is processed by PCI-DSS compliant payment processors.

6. ADVERTISEMENTS

A. Applicability to Mobile Applications
  • Third-party advertising providers may collect device identifiers for the delivery of personalized or non-personalized advertisements.
  • The User retains the option to disable personalized advertisements via their Google account settings.

7. USER RESPONSIBILITIES

A. Applicability to Mobile Applications
  • By utilizing the Applications, the User agrees:
    • Not to upload harmful, abusive, illicit, or illegal content.
    • Not to interfere with or disrupt the performance of the Application.
    • Not to attempt hacking, bypassing security protocols, or exploiting technical vulnerabilities.
B. Applicability to Payment Gateway & Vendor Services
  • By utilizing the Payment Services, the User agrees:
    • To ensure sufficient funds are available in the designated account prior to initiating a transaction.
    • To strictly refrain from uploading malicious scripts, viruses, or code that could compromise the financial integrity of the gateway.
    • To provide accurate Know Your Customer (KYC) details where mandated for vendor registration.

8. LIMITATION OF LIABILITY

A. Applicability to Mobile Applications
  • Banas Dairy shall not be liable for any damages, data loss, business interruption, or device malfunctions arising from the use of the Applications.
  • The use of the Applications is at the sole risk of the User.
B. Applicability to Payment Gateway & Vendor Services
  • Banas Dairy shall not be held liable for transaction failures attributed to banking errors, internet connectivity issues, or third-party payment aggregator failures.
  • Banas Dairy is not liable for any direct or indirect financial loss resulting from the User's failure to secure their banking credentials.

9. TERMINATION

A. Applicability to Mobile Applications
  • Banas Dairy reserves the right to terminate or suspend access to any Application if:
    • The User violates these Terms,
    • The User misuses the Application, or
    • Such action is required by applicable laws.
    • The User may cease using the Applications at any time by uninstalling them.
B. Applicability to Payment Gateway & Vendor Services
  • Banas Dairy reserves the right to suspend or terminate vendor access or payment privileges if:
    • Fraudulent transaction patterns are detected,
    • User provides false information regarding Vendor Registration or EMD, or
    • The User violates the financial compliance policies of Banas Dairy.

10. UPDATES

  • Banas Dairy reserves the right to update any Application or the Payment Gateway infrastructure for improvements, bug fixes, new features, or legal compliance.
  • Continued use of the Services following such updates constitutes the User’s acceptance of the updated Terms.

11. PRIVACY POLICY

The User's utilization of the Applications and Payment Services is governed by Banas Dairy’s Privacy Policy, accessible at: www.banasdairy.coop/Home/PrivacyPolicy

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
